1. Who we are and what these terms cover
When we say “Pactlo”, “we”, “our” or “us”, we mean MRD Studio, Inc., a Delaware corporation, 67 Olmsted Rd Unit 102, Stanford, CA 94305, USA. Pactlo is a product of MRD Studio, Inc.
When we say “Services”, we mean the Pactlo website at pactlo.com, the Pactlo application, our APIs, and the messages and documents we send on your behalf.
When we say “you”, we mean anyone who uses the Services. A “Sender” is a person or business with a Pactlo account who prepares or sends an agreement. A “Signer” is a person who receives an agreement through Pactlo to review, approve, sign or pay. You can be both.
By creating an account, sending an agreement, or signing or approving an agreement through Pactlo, you agree to these Terms, our Privacy Policy and the other policies linked here. If you use Pactlo on behalf of a business, you agree to these Terms for that business and confirm that you have authority to do so.
Pactlo is in development and not every feature described on our website may be available yet.
2. What Pactlo is, and what it is not
Pactlo is software that helps two parties prepare an agreement, approve and sign it electronically, collect a deposit or payment, and keep a tamper-evident record of what was agreed.
- We are not a party to your agreements. Agreements made through Pactlo are between the Sender and the Signer. We do not guarantee that the other party will perform, pay, or tell the truth.
- We are not a law firm. We do not give legal advice, we do not review your agreements for legal sufficiency, and using Pactlo does not create an attorney-client relationship.
- We do not guarantee enforceability. Whether an agreement or an electronic signature is valid or enforceable depends on its content and on the laws that apply to it.
- We are not an escrow agent, bank or money transmitter. Payments go directly to the Sender’s own payment account through our payment processor (see section 9). We do not hold funds for either party.
3. Eligibility and accounts
- You must be at least 18 years old and able to form a binding contract to use the Services.
- You must provide accurate information when you create an account and keep it up to date.
- You are responsible for keeping your login credentials secure and for all activity under your account, including activity by people you invite to it. We recommend turning on two-factor authentication.
- Accounts registered by bots or other automated methods are not permitted.
4. Your responsibilities when you send agreements
When you prepare or send an agreement through Pactlo, you confirm that:
- you have the right to use and share the documents and information you upload, and they do not violate anyone’s rights or the law;
- the agreement is appropriate to be signed electronically and is not a type of document listed in section 6 that must be signed on paper;
- the names, email addresses and phone numbers you enter for Signers are accurate, and you are entitled to contact those people about the agreement;
- each Signer whose mobile number you enter has agreed to receive text messages about the agreement, as described in section 8 and our SMS Terms; and
- you are responsible for the terms of your agreement and for your relationship with the Signer, including delivering what you promised, refunds, and disputes.
5. Terms for signers
If you received an agreement through Pactlo, you do not need an account and you do not pay us anything to review, approve or sign it.
- The agreement is between you and the Sender, not between you and Pactlo. Questions about its content, price or performance should go to the Sender.
- Before you sign, we ask you to consent to electronic records and signatures under our E-Sign Disclosure and to verify your email address or phone number.
- Please read the whole document before you sign. Any summary we show you is for convenience only (see section 7). The full document is what you are agreeing to.
- After signing, you receive your own copy of the sealed document. You can ask us for another copy while we retain it (see section 11).
- If you pay through Pactlo, your payment goes to the Sender through our payment processor. Refund requests go to the Sender.
6. Electronic signatures and records
Pactlo is designed to support electronic signatures under the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA) as adopted by the states. For each signature, we record evidence such as the signer’s verified email address or phone number, the time, the IP address and device information, and a cryptographic fingerprint (hash) of the document, and we seal the completed document.
Some documents cannot be signed electronically, or require additional steps, under ESIGN, UETA or other laws. You may not use Pactlo for:
- wills, codicils or testamentary trusts;
- adoption, divorce or other family law matters;
- court orders, notices or official court documents;
- notices of cancellation or termination of utility services;
- notices of default, acceleration, repossession, foreclosure or eviction, or the right to cure, under a credit agreement or rental agreement for a primary residence;
- notices of cancellation or termination of health insurance or life insurance benefits;
- product recall notices or notices of material failure of a product that risks health or safety;
- documents required to accompany the transport or handling of hazardous materials, pesticides or other toxic or dangerous materials; and
- any other document that the law requires to be signed in ink, notarized or witnessed in a way Pactlo does not support.
7. Templates and AI features
- Templates. Our standard templates are based on publicly available standard forms and practices. They are provided “as is”, may not suit your situation, and may not comply with every law that applies to you. You are responsible for choosing and reviewing the terms you use.
- AI features. Pactlo uses artificial intelligence to help detect fields in documents, write plain-language summaries, and explain agreements you upload. AI output can be incomplete or wrong. It is informational only, it is not legal advice, and it does not recommend what you should do. Always read the full document.
- Your content and AI. We do not use your documents or agreements to train AI models. Our AI providers process content only to provide the feature you asked for, as described in our Privacy Policy.
8. Text messages and emails
Pactlo sends transactional messages about agreements: signing requests, verification codes, reminders until an agreement is signed or paid, and receipts. We write the content of these messages; Senders cannot send free-form or marketing text through Pactlo. Text messages are covered by our SMS Terms. Message and data rates may apply. You can reply STOP to any Pactlo text message to stop receiving them.
9. Payments you collect through Pactlo
Senders can collect deposits and payments from Signers through Pactlo using Stripe.
Payment processing services for Senders on Pactlo are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the “Stripe Services Agreement”). By agreeing to these Terms or continuing to operate as a Sender on Pactlo, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Pactlo enabling payment processing services through Stripe, you agree to provide Pactlo accurate and complete information about you and your business, and you authorize Pactlo to share it and transaction information related to your use of the payment processing services provided by Stripe.
- The Sender is the seller of record for its goods or services. The Sender is responsible for refunds, chargebacks, disputes and taxes related to payments it collects.
- Stripe charges its own processing fees. Pactlo also charges a platform fee on payments collected through Pactlo, as shown on our Pricing page. Pactlo’s platform fee is not refunded when a Sender refunds a payment, unless the law requires it.
- Payments can be used only for a Sender’s genuine goods or services. Pactlo does not support payments between individuals, loans, escrow or money transfers.
- For Stripe’s handling of personal data, see the Stripe Privacy Policy. Stripe’s acquirer disclosure also applies.
10. Plans, billing and cancellation
- Free plan. Our free plan is free. We do not ask for a card to use it. It has the usage limits shown on our Pricing page.
- Paid plans renew automatically. Paid plans are billed in advance, monthly or annually, and renew automatically at the then-current price until you cancel. We show the price, billing period and renewal terms before you subscribe, and we ask for your express consent.
- Cancel anytime, online. You can cancel from your account settings at any time, in the same way you subscribed. Cancellation takes effect at the end of your current billing period, and you will not be charged again. Our Refunds & Cancellation Policy explains refunds.
- Price changes. If we change the price of your plan, we will tell you by email at least 30 days before the change applies to you. If you subscribe annually, we will remind you before each renewal.
- Taxes. Prices do not include taxes. Where required, we collect and pay sales tax or similar taxes.
- Failed payments. If a payment fails, we may limit your account to free-plan features until it is paid.
11. Records and retention
Because a signed agreement is only useful if its evidence survives, we keep sealed documents and their audit trails for seven years after the agreement is completed, even if an account is closed, unless a longer period is required by law or a shorter period is agreed in writing. During that time, both the Sender and the Signer can obtain a copy. You can export your completed agreements at any time while your account is open.
When you close your account, we delete your other account content (such as drafts, templates and uploaded files that were never sent) from our active systems within 30 days and from backups within 60 days.
12. Acceptable use
You may not use Pactlo to:
- break the law or help anyone else break it;
- forge or falsify documents or signatures, impersonate anyone, or misrepresent who you are or whom you represent;
- defraud, deceive, harass, threaten or abuse anyone;
- send spam, marketing messages, or messages to people who have not agreed to receive them;
- process payments for loans, money transfers, escrow, gambling, or anything Stripe prohibits;
- upload malware or content that infringes someone else’s rights;
- probe, scan, overload or interfere with the Services, or access them by automated means except through our documented APIs; or
- circumvent limits, security measures or verification steps.
We may investigate suspected misuse and may remove content, suspend accounts or report activity to authorities where appropriate. To report misuse, email support@pactlo.com.
13. Your content and our property
- Your documents and content remain yours. You give us a limited license to host, process, transmit and display them only as needed to provide the Services to you and to the other party to your agreement, and to keep the records described in section 11.
- We do not pre-screen content, but we may refuse or remove content that violates these Terms.
- We and our licensors own the Services, including our software, design, templates, trademarks and logos. You may not copy, resell or exploit any part of the Services without our written permission.
- If you send us feedback or suggestions, we may use them without any obligation to you.
14. Changes, suspension and termination
- We may change or discontinue features of the Services. If a change materially reduces a paid feature you rely on, we will try to give you reasonable notice.
- We may update these Terms. If we make a material change, we will update the date at the top of this page and notify account holders by email or in the product before the change takes effect. If you keep using the Services after that, you accept the updated Terms.
- We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services, our users or others. Where reasonable, we will tell you first. Records we must retain under section 11 are kept for both parties after termination.
- You may stop using the Services and close your account at any time.
15. Disclaimers and limitation of liability
The Services are provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranty that the Services will be uninterrupted, error-free, or that any agreement or signature will be valid or enforceable.
To the fullest extent permitted by law, Pactlo will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or relating to the Services or these Terms, even if we were advised of the possibility. Our total liability for all claims relating to the Services or these Terms is limited to the greater of (a) the amounts you paid us for the Services in the 12 months before the claim arose and (b) US $100.
Some jurisdictions do not allow certain of these exclusions or limits, so they may not fully apply to you. Nothing in these Terms limits any rights you have under consumer protection laws that cannot be waived.
Indemnity. If you use Pactlo as a Sender or for a business, you will defend and indemnify Pactlo against third-party claims arising from your agreements, your content, your messages to Signers, your goods or services, or your violation of these Terms or the law.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflict-of-laws rules. If you are a consumer, you also keep the protection of any mandatory laws of the place where you live.
If you have a concern, please contact us first at legal@pactlo.com. Most problems can be solved quickly that way. If we cannot resolve a dispute informally within 30 days, either party may bring a claim in the state or federal courts located in Delaware, or, if you are a consumer, in the courts where you live. Either party may also bring an individual claim in small claims court where it qualifies.
17. General terms and contact
- These Terms and the policies linked here are the entire agreement between you and us about the Services.
- If any part of these Terms is found unenforceable, the rest remains in effect. If we do not enforce a right, that is not a waiver.
- You may not transfer these Terms without our consent. We may transfer them in connection with a merger, acquisition or sale of assets, and we will notify you.
- We may send you notices by email or in the product. You can send us notices at legal@pactlo.com or by mail to MRD Studio, Inc., 67 Olmsted Rd Unit 102, Stanford, CA 94305, USA.
- You must comply with U.S. export control and sanctions laws when using the Services.
